LONGEVITY HEALTH HOLDINGS ANNOUNCES CONTINUED NASDAQ LISTING TO COMPLETE MERGER WITH 20/20 BIOLABS

(Nasdaq: XAGE) (“XAGE,” the “Company,” “we,” “us,” or “our”), a company focused on extending human longevity and healthy aging through innovative products in regenerative bio-aesthetics, diagnostics, and nutrition, today announced that it has received a favorable decision from the Nasdaq Hearings Panel (the “Panel”) granting the Company’s request to continue its listing on The Nasdaq Stock Market (“Nasdaq”) subject to the satisfaction of the Nasdaq initial listing rules for the combined company following the proposed merger with 20/20 BioLabs, Inc. (“20/20”) on or before September 2, 2025.

This decision follows the Panel’s comprehensive review of the Company’s recent business developments, financial disclosures, and proposed merger with 20/20. As part of its strategic plan, XAGE presented its intention to merge with 20/20 and effect a 1-for-30 reverse stock split to address Nasdaq’s listing requirements. The Company filed the S-4 registration statement for the proposed merger on May 8, 2025, and effected the reverse stock split on May 12, 2025.

Based on a review of both companies’ financial statements and pro forma projections, the Panel has granted XAGE an exception to allow the Company time to complete its merger with 20/20 and to demonstrate the combined company’s compliance with Nasdaq’s initial listing rules on or before September 2, 2025.
